Upon graduation from law school, Paul joined the firm of Vial, Hamilton, Koch & Knox, LLP, a mid-sized Dallas law firm with over 125 lawyers at its zenith. Paul served on the firm’s management committee and acted as the firm’s general counsel as he continued his practice. When that firm dissolved after 49 years of existence, Paul continued to practice in a smaller firm with lawyers who worked with him at Vial, Hamilton.
Areas of Practice
Paul has represented a variety of clients, both entities and individuals, in a wide variety of industries and legal fields—both litigation and transactional.
Business and Insurance Litigation
Paul has a broad business and insurance litigation practice involving commercial disputes of all types, including contractual, mergers and acquisitions, antitrust and securities, and both insurance coverage and defense. As insurance defense counsel, Paul has defended lawyers, accountants, and other professionals in professional-negligence and related actions. As insurance coverage and defense-monitoring counsel, he has counseled insurers on complex coverage questions, and assisted in coordinating defenses, in connection with the trial and settlement of major claims such as legal malpractice claims brought against lawyers and financial institutions’ directors and officers by the Federal Deposit Insurance Corporation. Paul’s business transactional experience complements his business and insurance litigation practice enabling him to bring to all his litigation engagements a business perspective that often is not found in those specializing in litigation.
Business and Corporate Transactions and Securities
Paul’s practice has included corporate transactions (including mergers and acquisitions, joint ventures, asset-purchase transactions), securities, commercial lending (representing institutional lenders and borrowers), healthcare and sports and entertainment law. He represented the management shareholders of a major manufacturer of roofing materials in their leveraged buyout of the venture-capital shareholders. He continued to represent the company as principal outside counsel. He then represented the shareholders when they sold to a multi-national in a multi-million-dollar transaction. Paul represented the sole shareholders of a major manufacturer of truck axles and suspension systems when they sold their shares to in another multi-million-dollar transaction.
Sports and Entertainment Law
Paul has represented professional athletes, owners of sports franchises and local media personalities. He has extensive experience negotiating employment contracts for both employers and employees.
